CareerHawk — Terms of Service

By accessing or using careerhawk.ai, any subdomain, or any related feature (collectively, the "Service"), you agree to these Terms of Service (the "Terms") and to our Privacy Policy and Disclaimer, each incorporated by reference. If you do not agree, do not use the Service.

1. What the Service is

CareerHawk is an informational job-search assistant. It aggregates publicly available job postings, applies automated and AI-assisted analysis to score how a posting may fit the background you provide, and helps you draft application materials such as tailored resumes, cover letters, interview prep, STAR stories, negotiation notes, and follow-up drafts. CareerHawk is not a recruiter, employer, staffing agency, career counselor, licensed advisor, or fiduciary of any kind.

2. Eligibility and accounts

You must be at least 18 years old and legally able to form a binding contract. Accounts are managed through our authentication provider, Clerk. You are responsible for safeguarding your credentials and for all activity under your account, and you must promptly notify us at [email protected] of any unauthorized access. One person, one account. You may not share access or transfer your account.

3. Acceptable use

You agree not to:

  • use the Service in violation of any law, regulation, or third-party right;
  • scrape, resell, redistribute, mirror, or create derivative datasets from the Service or its underlying data;
  • reverse engineer, decompile, probe, disrupt, overload, or attempt to gain unauthorized access to the Service or its infrastructure;
  • upload material that is false, defamatory, infringing, malicious, or that misrepresents your identity, employment history, credentials, or authorization to work;
  • use the Service to send spam, submit mass or automated applications, or otherwise abuse employers or third-party job platforms;
  • use the Service, its outputs, or your account to build, train, benchmark, or improve a competing product; or
  • resell, sublicense, or provide the Service to any third party.

We may investigate suspected violations and cooperate with law enforcement.

4. Your content and license

You retain ownership of the resume, profile, career history, target companies, and other content you upload or generate through the Service (your "Content"). You grant CareerHawk a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and modify your Content solely to operate, secure, and improve the Service for you, including transmitting it to our sub-processors (see the Privacy Policy). You represent that you have all rights necessary to upload your Content and that it is accurate and not misleading. You are solely responsible for what you submit to any employer.

5. AI-generated output

The Service uses large-language-model providers to score postings and to draft application materials. AI output can be inaccurate, incomplete, biased, out-of-date, or fabricated ("hallucinated"), including inventing employers, dates, achievements, or requirements. You must review, verify, and edit every AI-generated output before relying on it or submitting it to any third party. You are solely responsible for the truth and accuracy of anything you submit. Drafts are prepared for your review; the Service does not submit any application, message, or document to any employer or third party on your behalf without your explicit, per-item action.

6. No guarantee of outcome

Fit scores, rankings, dossiers, salary ranges, company signals, and generated materials are informational estimates. CareerHawk does not guarantee any interview, offer, hire, salary, promotion, response, or other outcome. Decisions you make based on the Service are yours alone.

7. Third-party postings, employers, and platforms

Job postings, company details, salary ranges, and hiring-manager signals originate from publicly available third-party sources. CareerHawk is not affiliated with, endorsed by, or sponsored by any employer or any applicant-tracking system (including but not limited to Greenhouse, Ashby, Lever, Workable, Recruitee, SmartRecruiters, or Workday). Company names, logos, and trademarks are the property of their respective owners and are used solely for identification. Your interactions with any employer, recruiter, or third-party platform are strictly between you and them, and are governed by their own terms and privacy practices. Postings may be outdated, duplicated, closed, or altered without notice; always verify directly with the source before applying.

8. Subscriptions, billing, and cancellation

CareerHawk offers a Free tier and a paid Pro tier ($24/month at the time of these Terms, subject to change on notice). Paid plans are billed in advance on a recurring monthly cycle by our payment processor and automatically renew at the then-current rate until you cancel. You may cancel at any time from your account settings; cancellation stops future renewals and takes effect at the end of the current billing period. Fees already charged are non-refundable except where required by law. You are responsible for all taxes other than taxes on our net income. We may change prices or plan features on at least 14 days' prior notice; continued paid use after the change constitutes acceptance.

9. Intellectual property

CareerHawk, including its software, models, prompts, designs, brand, and site content, is owned by Bowery Road LLC and its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service for your own personal job search, subject to these Terms. All rights not expressly granted are reserved. Portions of the underlying job-finding engine are used under permissive open-source licenses; see THIRD-PARTY-NOTICES.md in the repository.

10. Feedback

If you send us suggestions, ideas, or feedback, you grant CareerHawk a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation to you.

11. Termination

You may stop using and delete your account at any time. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or to protect the Service, other users, or third parties. On termination, Sections 4 (last sentence), 5, 6, 9, 10, 12, 13, 14, 15, 16, and 17 survive. Data handling on termination is governed by the Privacy Policy.

12. Disclaimers

THE SERVICE, INCLUDING ALL DATA, SCORES, RANKINGS, AND GENERATED MATERIALS, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY DATA WILL BE ACCURATE, COMPLETE, TIMELY, OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; IN THOSE JURISDICTIONS THE EXCLUSIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BOWERY ROAD LLC, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, EMPLOYMENT, OFFER, DATA, OR OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE FIRST EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS ($100). THE FOREGOING LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

14. Indemnification

You will defend, indemnify, and hold harmless Bowery Road LLC and its affiliates, officers, members, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your Content or your use of the Service, (b) your interactions with any employer, recruiter, or third-party platform, (c) any material you submit to a third party, or (d) your breach of these Terms or of any law or third-party right. We may assume exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with our defense.

15. Governing law; arbitration; class-action waiver

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of New York, without regard to conflict-of-laws principles.

Binding arbitration. You and CareerHawk agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved exclusively by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in New York, New York, and conducted in English by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and CareerHawk agree to bring disputes only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative proceeding.

Exceptions. Either party may (a) bring an individual claim in small-claims court where jurisdiction and venue permit or (b) seek injunctive or equitable relief in the state or federal courts located in New York County, New York, to protect intellectual-property rights.

Opt-out. You may opt out of the arbitration and class-action waiver in this Section 15 by sending written notice to [email protected] within thirty (30) days of first accepting these Terms; opting out does not affect any other provision.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email and update the effective date above. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Miscellaneous

These Terms are the entire agreement between you and CareerHawk regarding the Service and supersede any prior agreement on the same subject. If any provision is held unenforceable, the remainder will remain in effect and the unenforceable provision will be enforced to the maximum extent permitted. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, financing, or sale of assets. Notices to you may be given by email or through the Service; notices to us must be sent to [email protected]. Sections that by their nature should survive termination will survive.
